1. Acceptance of Terms

By accessing or using the website www.foxora.in and any services provided by Foxora Digital LLP ("Foxora", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

2. Services

Foxora Digital LLP provides digital services including but not limited to:

• Web design and development
• E-commerce development
• Android app development
• Digital marketing (SEO, social media, Google Ads)
• UI/UX design and branding
• Content creation and blog writing

Specific terms for each project are governed by a separate Service Agreement or Statement of Work signed by both parties.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information required for project completion
• Respond to requests for feedback, content, and approvals in a timely manner
• Ensure you have rights to all content (text, images, logos) you provide to Foxora
• Make payments as per agreed schedules
• Not use our services for illegal or harmful purposes

4. Payment Terms

Payment terms are specified in individual project agreements. Generally:

• Projects require a 50% advance payment before work commences
• The balance is due before launch / final delivery
• Monthly plans (social media, ads, SEO) are billed monthly in advance, with a 3-month minimum commitment and a one-time onboarding fee of ₹2,999 (waived when 6 months are paid upfront)
• Advertising spend is paid by the client directly to Meta or Google and is not included in plan fees
• All prices are exclusive of GST, which is charged as applicable
• Late payments may result in work suspension

5. Intellectual Property

Upon receipt of full payment, Foxora transfers ownership of custom-designed deliverables (website designs, logo files, app source code) to the client. Foxora retains the right to display completed work in our portfolio unless a separate non-disclosure agreement is signed.

Third-party assets (stock photos, fonts, plugins) remain subject to their respective licenses. Foxora is not responsible for licensing violations by clients after project delivery.

6. Revisions and Changes

Each project includes a specified number of revision rounds as outlined in the project agreement. Additional revisions or scope changes may incur additional charges. Major scope changes require a revised project agreement.

7. Cancellation and Refunds

Clients may cancel projects before work commences for a full refund of the advance payment. Once work has commenced, cancellations are subject to payment for work completed to date. Foxora may terminate projects due to client non-payment or violation of these terms.

Refunds for digital marketing services (SEO, Ads) are not applicable once campaigns have been launched, as these involve third-party platform costs.

8. Limitation of Liability

Foxora's liability is limited to the amount paid for the specific service in question. We are not liable for indirect, incidental, or consequential damages including lost profits, loss of data, or business interruption.

Foxora does not guarantee specific search engine rankings, advertising results, or business outcomes. Digital marketing results depend on many factors beyond our control.

9. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the engagement. This includes business plans, technical specifications, and client data.

10. Governing Law

These Terms of Service are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Kozhikode, Kerala, India.

11. Changes to Terms

Foxora reserves the right to modify these Terms of Service at any time. Changes will be effective upon posting to this page. Continued use of our services after changes constitutes acceptance of the new terms.
